1. Acceptance of Terms These Terms and Conditions (“Terms”) govern your use of the websites and services provided by Adthority Ltd (“Company”, “we”, “us”, or “our”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must not use our Services. 

2. Our Services Adthority Ltd is a digital marketing agency and performance marketing network. Our services may include: - Lead generation and partner/affiliate network management; - Media buying, campaign setup/optimisation, and analytics; - Landing pages, forms, and content hosted via Squarespace; - Data processing related to leads, advertisers, and affiliates. 

3. Intellectual Property All content, branding, graphics, text, data, design, and other materials made available through our Services are owned by Adthority Ltd or our licensors and protected by intellectual property laws. You may not copy, reproduce, distribute, adapt, or create derivative works without our prior written consent. The Adthority name and logo may not be used without permission. 

4. Pricing & Payment Fees are agreed via insertion orders (IOs), statements of work, or contracts. Unless otherwise agreed in writing: - Invoices are payable in the currency and within the timeframe specified on the invoice/IO; - We may suspend or terminate Services for late or non-payment; - We may use secure third-party payment processors; - We may adjust pricing or discontinue Services at any time (this will not affect fees already agreed for in-flight campaigns). 

5. Prohibited Activities You agree not to: - Submit fraudulent, incentivised, or non-compliant leads; - Engage in spam, malware distribution, scraping, or security breaches; - Interfere with or disrupt our websites, forms, or systems; - Reverse engineer any part of our Services; - Violate applicable laws, advertising rules, or platform policies. 

6. Data Protection & Privacy (GDPR/UK GDPR) - Controller/Processor: Depending on the campaign, Adthority Ltd may act as an independent controller (e.g., website lead capture) and/or processor (e.g., processing leads for an advertiser). Roles are set out in the relevant IO or data processing agreement (DPA). - Lawful Basis: We process personal data on bases including consent (e.g., web form opt-ins), contract, and legitimate interests (e.g., fraud prevention, service delivery). - Use of Data: Personal data may be used to validate, route, deliver, and report on leads; to communicate with users/partners; to ensure compliance; and to improve Services. - Sharing: We may share personal data with advertisers, affiliates, sub-processors (e.g., hosting, analytics, form tools), and professional advisers where necessary and subject to appropriate safeguards. - International Transfers: Where data is transferred outside the UK/EEA, we implement appropriate safeguards (e.g., Standard Contractual Clauses). - Retention: We retain personal data only as long as necessary for the purposes collected and to meet legal/contractual obligations. - Your Rights: Individuals have rights of access, rectification, erasure, restriction, portability, and objection, and the right to withdraw consent where applicable. 7. Cookies & Tracking Our Squarespace-hosted websites may use cookies and similar technologies for functionality, analytics, fraud prevention, and advertising. You can manage preferences via your browser settings and our cookie banner (where provided). See our Cookie/Privacy Policy for details. 

8. Service Management, Availability & Changes We may update, suspend, or discontinue any part of the Services at our discretion. We do not guarantee uninterrupted or error-free operation, or particular outcomes (e.g., conversion volumes or CPA/CPL results). We may introduce new features or limits at any time. 

9. Warranties & Disclaimers The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement. Performance results, volumes, and timelines are not guaranteed. 

10. Liability Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law. Subject to the foregoing, we will not be liable for: - Indirect, incidental, special, or consequential losses; - Loss of profits, revenue, data, goodwill, or business opportunities; - Any amount exceeding the fees paid or payable by you to us in the 3 months preceding the event giving rise to the claim.

11. Third-Party Services & Links Our Services may integrate with or link to third-party platforms (e.g., Squarespace, analytics, payment processors). We are not responsible for third-party terms, policies, or performance. Your use of third-party services is at your own risk and subject to their terms. 

12. Changes to these Terms We may update these Terms from time to time. Changes take effect when posted on this page, unless stated otherwise. Your continued use of the Services after changes constitutes acceptance. 

13. Governing Law & Jurisdiction These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or confidential information.
